We make available VOLTED subject to the terms of use ("Terms of Use") set forth below.

Please read these Terms of Use carefully before accessing or using VOLTED. By accessing or using any part of VOLTED, you agree to become bound by these Terms of Use. If you do not agree to all the terms of the Terms of Use, then you may not access or use VOLTED.

We may update the Terms of Use from time to time. Please regularly check the Site for information about revisions to the Terms of Use. By continuing to use VOLTED or provide us information through your use VOLTED after we make a change to the Terms of Use, you accept the updated provisions in the Terms of Use.

Definitions

"Agreement" refers to these Terms of Use. "Services" encompasses all VOLTED offerings, including Freeware, Open Source Software, Commercial Software, Subscription Services, and Technology Consultancy. These offerings may include additional features such as add-ons, extensions, and local AI functionality. "Authorized Users" means individuals who are authorized to use the Services. "Your Data" refers to electronic data and information submitted by you or Authorized Users. "License" defines the terms under which you are permitted to use specific VOLTED offerings.

Types of Offerings and Licenses

VOLTED provides several categories of software and services, each with distinct characteristics and terms:

Freeware is provided without charge for both personal and commercial use. While core functionality remains free and fully functional, it may include optional purchasable add-ons or extensions. We reserve the right to update or modify these offerings at our discretion, and make no guarantees regarding continued availability or support.

Open Source Software is provided under specific licenses such as MIT or GPL, with source code publicly available. Usage rights and restrictions are defined in respective license files. We welcome community contributions under project guidelines, and users may modify and distribute the software according to the specified license terms.

Commercial Software is available through one-time purchases, with licenses granted for specific versions. Updates and support are provided according to purchase terms. These offerings may include additional purchasable features to extend functionality.

Subscription Services provide access on a recurring payment basis. Features and functionality may change during the subscription period, with automatic renewal unless cancelled before the billing period ends. Access terminates at the end of the subscription period, and usage is subject to current tier limitations.

Technology Consultancy services are provided under separate agreements that specify scope, deliverables, and intellectual property rights. Work is typically conducted on a time and material basis, with no guarantee of specific outcomes. We maintain ownership of pre-existing intellectual property unless otherwise specified in the consulting agreement.

These core offerings may be enhanced with additional features such as add-ons, extensions, and local AI functionality. Such features are governed by the terms of their parent offering and any additional terms specified elsewhere in this agreement.

Service Access and Usage Rights

Subject to this Agreement and any applicable License, VOLTED grants you the right to access and use the Services. You are prohibited from redistributing or modifying Services except as explicitly permitted by the applicable License. Additionally, reverse engineering is not allowed except where permitted by applicable law. The Services may not be accessed or used to build competing products.

Your Responsibilities

As a user of our Services, you are responsible for ensuring all Authorized Users comply with this Agreement and for maintaining the accuracy and legality of Your Data. You must implement commercially reasonable efforts to prevent unauthorized access to the Services and promptly notify us of any security breaches. All use of the Services must comply with applicable laws and regulations.

Data Collection and Usage

By using the Services, you acknowledge and agree that we collect and process data as described in our Privacy Policy.

Data Rights and Protection

You retain ownership of Your Data, while granting VOLTED necessary rights for service operation. By using the Services, you grant us a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license to collect, store, and process Your Data as described in our Privacy Policy. This includes using Your Data for service improvement, analytics, and research, as well as transferring and storing it across borders as necessary for operation.

For data processing, we may employ third-party services and implement industry-standard security measures. We collect anonymous usage data through tools like Google Analytics and use cookies as detailed in our Privacy Policy. Data retention periods vary: while we keep operational data as needed for service functionality, technical data may be retained indefinitely in anonymized form, and some information must be retained for legal compliance.

Regarding third-party access, we maintain strict controls. We do not sell personal data to third-party marketers, though we may share data with service providers who assist in operations. When required by law or to protect our rights, we may disclose certain information to relevant authorities.

Data Processing Terms

We utilize third-party services for data processing and storage while maintaining industry-standard security measures to protect your information. Our services collect anonymous usage data through analytics tools like Google Analytics, and we employ cookies and similar technologies as detailed in our Privacy Policy to enhance service functionality and user experience.

Data Retention and Deletion

We maintain Your Data for the duration necessary to provide our services effectively. While operational data is kept only as long as needed, technical data may be retained indefinitely in anonymized form for service improvement and analysis. Certain information must be retained to comply with legal requirements. All deletion requests are evaluated and processed according to our technical capabilities and legal obligations.

Third-Party Access

We maintain a strict policy against selling personal data to third-party marketers. However, we may share data with trusted service providers who assist in our operations. In certain circumstances, such as legal requirements or to protect our rights, we may be required to disclose information to relevant authorities. All such sharing is conducted in accordance with applicable privacy laws and our security standards.

By using our Services, you affirm that you have the right to provide us with Your Data and that such data does not violate any applicable laws or third-party rights. You explicitly consent to the cross-border transfer and processing of Your Data as necessary for service operation.

Authorization of Use

Content Use of VOLTED software, documents, and graphics is permitted subject to specific conditions. Any use must comply with the license included with the content. For content without an explicit license, reproduction, modification, or integration is prohibited, with the exception of software usage examples when used in accordance with these Terms of Use. Any other use requires prior written permission from VOLTED. We retain all rights, title, and interest not expressly granted in this agreement.

Restrictions

As a condition of your use of VOLTED, you represent and warrant that you shall not use VOLTED for any purpose that is unlawful or prohibited by these Terms of Use. You will not submit any false, misleading or inaccurate information to VOLTED. You will abide by all applicable local, state, national and international laws and regulations and you shall be solely responsible and liable for all of your acts or omissions that occur while you use VOLTED. By ways of example, and not as a limitation, you will not use VOLTED to:

• Defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights (such as, but not limited to, rights of privacy, publicity and intellectual property) of others;
• Publish, distribute or disseminate any harmful, inappropriate, profane, vulgar, infringing, obscene, tortious, indecent, immoral or otherwise objectionable material or information;
• Transmit or upload any material to VOLTED that contains viruses, trojan horses, worms, time bombs, cancelbots, spyware, or any other harmful or deleterious programs;
• Interfere with or disrupt VOLTED networks or servers;
• Harvest or otherwise collect information from VOLTED about others, including without limitation email addresses, without proper consent;
• Use the account, login identification, or password of another party to access VOLTED;
• Otherwise attempt to gain unauthorized access to VOLTED, other accounts, computer systems or networks connected to VOLTED, through password mining or any other means; or
• Interfere with another individual’s or entity’s use or enjoyment of VOLTED.

We have no obligation to monitor your use of VOLTED or retain the content of any of your sessions on the Site. However, we reserve the right at all times to monitor, review, retain and/or disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request.

Term and Termination

For perpetual licenses, your right to use the software continues indefinitely unless terminated for breach of this Agreement. For temporary access rights, your access ends upon the specified period. We may terminate your rights:

• upon 30 days written notice of a material breach if such breach remains uncured, or
• immediately if you violate critical terms of this Agreement or applicable License terms.

Infringement Claims Policy

We respect the intellectual property of others, and we ask you to do the same. If you believe some Content on VOLTED has been copied in such a way as to constitute copyright infringement, please contact us below. We may investigate and take appropriate action.

Links to Other Sites

Any links found within the Site, our software applications, or any of our offerings may direct you to third-party websites or services. These external destinations are not under our control, and we do not endorse or take responsibility for their content, accuracy, or any other aspect. This applies to all links whether found on our website, within our applications, or as part of any feature across our various products and services. If you choose to access any third-party destination through our offerings, you do so entirely at your own risk.

Privacy

Personal information submitted by you to us through the VOLTED is treated according to the Privacy Policy. Our privacy policy does not apply to other Web sites, and we will not have any liability for the information collection or dissemination policies of third parties. By using the VOLTED, you agree you have read and understand the Privacy Policy, which is a condition to your use of VOLTED. You should not access the VOLTED if you do not agree with the terms of the Privacy Policy.

In-App Purchases and Refund Policy

VOLTED offers various in-app purchases, including but not limited to consumables, non-consumables, and donations. By making a purchase, you acknowledge and agree to the following terms:

Consumables and Donations

• All consumable items and donations are non-refundable under any circumstances
• Once purchased, these items cannot be returned or exchanged
• No exceptions will be made for accidental purchases

Non-Consumable Items

• Non-consumable items may be eligible for refund only if:
  • The refund is requested within 48 hours of purchase
  • The item has not been used as determined by our systems
  • The user's account is in good standing and has not violated the Terms of Use
• Usage of a non-consumable item is dcaetermined by our systems detecting successful fulfillment of the item's intended purpose
• Once used, all non-consumable items become non-refundable
• Any violation of these Terms of Use will immediately void all refund eligibility

Purchase Satisfaction

• VOLTED makes no guarantees regarding satisfaction with purchases
• We are not liable for any disappointment or unmet expectations regarding purchased items
• All purchases are made at the user's own risk and discretion
• Prices and availability of items may change without notice
• Description of items and their functionality are for reference only and may be updated or modified
• No refunds will be issued for services requiring local AI processing if your system does not meet minimum requirements. It is your responsibility to verify system requirements before purchase. As an alternative to local AI processing, you may choose to use your own OpenAI API key, which must be procured directly from OpenAI at your own expense

Purchase Processing

VOLTED bears no responsibility for errors in payment processing, and technical issues during purchase do not guarantee refund eligibility. Users must ensure their payment information is correct before proceeding with any transaction. We reserve the right to refuse any refund request at our discretion.

Service Availability and Continuity

We maintain the right to modify or discontinue software and services at our discretion. While local software functionality may continue, online features are subject to change. Previously purchased licenses remain valid in their existing form, and support and updates are provided at our discretion. We do not issue refunds for discontinued features or services. Changes to third-party integrations may affect functionality, and open source software continues to be available under its respective license terms.

Subscription Terms

Our subscription-based services operate on a recurring billing cycle according to your selected plan. Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date. Any changes to subscription tiers take effect at the next billing cycle. We do not provide refunds for partial subscription periods. We may modify subscription features with 30 days notice, and price changes take effect at the next billing cycle. Subscriptions may be terminated for violations of these Terms of Use.

Consultancy Services

Our technology consultancy services are governed by separate consulting agreements that specify rates, payment terms, and deliverables. We maintain ownership of all pre-existing intellectual property unless explicitly stated otherwise in the consulting agreement. No employment relationship is created through these services, and all parties are bound by confidentiality obligations as detailed in the consulting agreement. We reserve the right to subcontract portions of consulting services as needed.

Open Source Contributions

When contributing to our open source projects, you agree that your contributions will be licensed under the respective project's license. You warrant that you have the right to grant such license, and you acknowledge that we may use, modify, and redistribute your contributions. You explicitly waive any claims related to our use of your contributions.

Local AI Processing

For services that include Local AI features, all processing is performed using your local computer resources. VOLTED does not provide or maintain any AI processing capabilities, and performance depends entirely on your hardware configuration. You are responsible for managing your computer's resources and ensuring system requirements are met.

When using unattended AI-assisted content generation, operations will run according to your configured schedule and settings for a maximum of five (5) sites. Processing (article research and content generation) occurs locally on your machine at specified intervals or on user demand, with resource usage limited to what's necessary for advertised features. By using these features, you acknowledge and accept that your computer will be used for these tasks.

Our commitment to responsible AI usage means that local AI capabilities are used strictly for service operation and processing is limited to fulfilling advertised features. No additional or unrelated AI processing will be performed, and you maintain full control over AI feature activation and settings.

Regarding system requirements, you are responsible for ensuring your system meets the minimum specifications detailed in our service documentation. Performance may vary based on your hardware configuration, and no refunds will be issued for inability to run AI workloads locally.

For alternative processing options, our services support OpenAI API as an alternative to local AI processing (Ollama). If you choose not to use or cannot run local AI processing, you may opt to use your own OpenAI API key. The OpenAI API key must be procured directly from OpenAI, and all associated costs are your sole responsibility. We do not provide refunds related to OpenAI API costs as this is a user-selected alternative to local processing.

Usage Limitations

Export Compliance

The Services are subject to export laws and regulations. By using our Services, you represent and warrant that you are not located in a country subject to U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

Force Majeure

Neither party shall be liable for any failure or delay in performance under this Agreement due to causes beyond that party's reasonable control, including acts of God, war, terrorism, pandemic, changes in laws or regulations, labor disputes, and failures of suppliers or subcontractors.

Dispute Resolution

Any dispute arising from this Agreement shall be resolved through binding arbitration conducted by a single arbitrator in accordance with the rules of the Canadian Arbitration Association. The arbitration shall be conducted in English or French and shall take place in Montreal, Quebec, Canada. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Disclaimer of Warranties

The Site, Services and all Content are provided “as is” without warranty of any kind, express or implied. We hereby disclaim all warranties and conditions with regard to the Site and all Content, including all warranties, implied or express, of merchantability, fitness for a particular purpose, title and non-infringement. In no event shall VOLTED, its contractors, partners, vendors, suppliers, and service providers be liable for any damages whatsoever, (including, without limitation, damages resulting from loss of use, data or profits), whether in an action of contract, negligence or other tort related action, arising out of, or in connection with, or in contemplation of the use or performance of the site or any content, even if we have been advised of the possibility of such damages.

You are also advised that any Content or portions of the Site may contain errors or omissions; VOLTED may remove, replace, or make changes in the Content without notice at any time; and VOLTED is under no obligation to update the Content.

Indemnification

You will indemnify and hold VOLTED, its contractors, partners, vendors, suppliers, and service providers harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of your usage of the Site or Services, your violation of this Agreement, or your infringement or any third party using your account, of any intellectual property right.

Limitation of Liability

VOLTED, including its contractors, partners, vendors, suppliers, and service providers, will not be liable under any contract, negligence, strict liability or other legal or equitable theory for any special, incidental or consequential damages. This includes costs for substitute products or services, interruption of use, loss or corruption of data, or any amounts exceeding fees paid to VOLTED under the Terms of Use during the twelve-month period prior to the cause of action. Additionally, we are not liable for damages arising from modification, discontinuation, or unavailability of any services or features. VOLTED bears no liability for failures or delays due to matters beyond reasonable control, except where prohibited by applicable law.
